- The Website is operated by Realink (ACN 620 025 041). Access to and use of the Website, or any of its associated products or Services, is provided by Realink.
- Please read these terms and conditions (the 'Terms') carefully. By using, browsing, or reading the Website, you signify that you have read, understood, and agreed to be bound by the Terms. If you do not agree with the Terms, you must cease using the Website and any of the Services immediately.
- Realink reserves the right to review and amend any of the Terms by updating this page at its sole discretion. When Realink updates the Terms, it will use reasonable endeavors to provide notice of these updates. Any changes to the Terms take immediate effect from the date of their publication. Before continuing, we recommend keeping a copy of these Terms for your records.
2. Acceptance of the Terms
You accept the Terms by remaining on the Website. You may also accept the Terms by clicking to accept or agree to the Terms where this option is made available to you by Realink in the user interface.
3. Registration and Account Eligibility
- In order to access the Services, you must be 21 years of age or older and register for an account through the Website (the 'Account').
- As part of the registration process, or for your continued use of the Services, you may be required to provide personal information and professional documentation, including:
- A copy of a valid CPP41419 VIC Certificate IV in Real Estate Practice (or equivalent recognised qualification);
- A valid Victoria Police or ACIC National Police Check obtained within the required timeframe;
- Government-issued identification (ID);
- A valid email address; and
- A current phone number.
3. You warrant that any information you provide to Realink during the registration process will always be accurate, correct, and up to date.
4. Upon completing the registration process, you become a registered member of the Website ('Member') and agree to be bound by the Terms.
5. You may not use the Services or accept the Terms if:
- You are not of legal age to form a binding contract with Realink; or
- You are barred from receiving the Services under the laws of Australia or other applicable jurisdictions.
4. Member Obligations
As a Member, you agree to comply with the following obligations:
- You will use the Services only for purposes permitted by: These Terms; and Any applicable law, regulation, or generally accepted practice or guideline in the relevant jurisdictions.
- You have sole responsibility for maintaining the confidentiality of your password and email address. Unauthorized use of your password or Account may result in the immediate cancellation of your Services.
- Any use of your registration information by any other person or third party is strictly prohibited. You agree to immediately notify Realink of any unauthorized use of your password, email address, or any other breach of security.
- Access to and use of the Website is limited, non-transferable, and granted solely for the purpose of receiving the Services provided by Realink.
- You will not use the Services or the Website for any commercial endeavors except those specifically endorsed or approved by Realink management.
- You will not use the Website or Services for illegal or unauthorized activities, including collecting Members' email addresses by electronic or other means for sending unsolicited emails, or framing/linking to the Website without authorization.
- Commercial advertisements, affiliate links, and other forms of solicitation may be removed from the Website without notice and may result in Account termination. Appropriate legal action will be taken for any illegal or unauthorized use.
- You acknowledge and agree that automated or robotic scraping, mining, or automated use of the Website or its Services is strictly prohibited.
5. Payments and Fees
- Where applicable, you may make or arrange client payment for the related business (the 'Services Fee') via Electronic Funds Transfer (EFT) into our nominated trust bank account only.
- You acknowledge and agree that if a request for payment of the Services Fee is returned, denied, or unpaid by your financial institution for any reason, you remain liable for all associated costs, including banking fees and administrative charges.
- Realink reserves the right to vary the Services Fee at any time upon notice.
6. Refund Policy
Realink will only provide a refund of the Services Fee to your client if:
- Realink is unable to continue providing the Services; or
- Realink management determines, in its absolute discretion, that a refund is reasonable under the circumstances (the 'Refund').
7. Copyright and Intellectual Property
- The Website, the Services, and all associated products of Realink are subject to copyright. The material on the Website is protected under Australian law and international treaties. Unless otherwise indicated, all rights (including copyright) in the Services and compilation of the Website (including text, graphics, logos, icons, video images, audio clips, code, scripts, design elements, and interactive features) are owned, controlled, or reserved by Realink or its contributors.
- All trademarks, service marks, and trade names are owned, registered, and/or licensed by Realink, which grants you a worldwide, non-exclusive, royalty-free, revocable license while you are a Member to:
- Use the Website pursuant to these Terms;
- Copy and store material from the Website in your device's cache memory; and
- Print pages from the Website for your own professional real estate work use.
3. Realink does not grant you any other rights in relation to the Website or Services. All other rights are expressly reserved.
4. Realink retains all right, title, and interest in and to the Website and all related Services. Nothing you do on or in relation to the Website transfers any ownership or license rights in business names, domain names, trademarks, patents, registered designs, or copyrighted material to you.
5. You may not—without the prior written permission of Realink and any other relevant rights holders—broadcast, republish, upload, transmit, post, distribute, show or play in public, adapt, or alter the Services in any way for any purpose, unless otherwise permitted by these Terms or applicable copyright law.
8. Privacy
Realink respects your privacy. Any information provided through your use of the Website and Services is subject to Realink's Privacy Policy, which is accessible on the Website.
9. General Disclaimer
- Nothing in these Terms limits or excludes any guarantees, warranties, representations, or conditions implied or imposed by law, including the Australian Consumer Law (ACL), which cannot be limited or excluded by law.
- Subject to Clause 9.1 and to the maximum extent permitted by law:
- All terms, guarantees, warranties, representations, or conditions not expressly stated in these Terms are excluded; and
- Realink will not be liable for any special, indirect, or consequential loss or damage, loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Services or these Terms (including as a result of inability to use the Services or late supply), whether at common law, under contract, tort (including negligence), in equity, pursuant to statute, or otherwise.
3. Use of the Website and Services is at your own risk. Everything on the Website and Services is provided to you "as is" and "as available" without warranty or condition of any kind.
4. Neither Realink nor its directors, officers, employees, agents, or licensors make any express or implied representations regarding the Services or products referred to on the Website, including loss or damage suffered as a result of:
- Performance failure, errors, omissions, interruptions, defects, delays, computer viruses, loss of data, communication line failures, or unauthorized access to records;
- The accuracy, suitability, or currency of any information on the Website or related products/services;
- Costs incurred from using the Website or Services; or
- Operations regarding links provided for convenience.
10. Limitation of Liability
- Realink's total liability arising out of or in connection with the Services or these Terms—however arising, including under contract, tort (including negligence), in equity, under statute, or otherwise—shall not exceed the resupply of the Services to you.
- You expressly understand and agree that Realink, its affiliates, officers, employees, agents, and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages incurred by you, however caused. This includes loss of profit (direct or indirect), loss of goodwill, business reputation, or any other intangible loss.
11. Termination of Contract
- The Terms will continue to apply until terminated by either you or Realink as set out below.
- If you wish to terminate these Terms, you may do so by:
Providing Realink with 14 days' written notice of your intention to terminate via email to [email protected]; and
Closing your accounts for all Services used, where Realink has made this option available.
3. Realink may terminate these Terms with you at any time if:
You breach any provision of the Terms or demonstrate an intention to breach them;
Realink is required to do so by law; or
The provision of Services to you is, in Realink's opinion, no longer commercially viable.
4. Subject to applicable laws, Realink reserves the right to suspend, discontinue, or cancel your membership at any time, and may deny access to any portion of the Website or Services without prior notice if your conduct violates these Terms, applicable law, or impacts Realink's reputation or third-party rights.
12. Indemnity
You agree to indemnify Realink, its officers, employees, agents, affiliates, and licensors from and against all actions, claims, demands, liabilities, costs, expenses, losses, and damages (including legal fees on a full indemnity basis) incurred or arising out of:
- Your Content uploaded to or shared via the Website;
- Any direct or indirect consequences of accessing, using, or transacting on the Website; and/or
- Any breach by you of these Terms.
13. Dispute Resolution
13.1 Compulsory Notice
If a dispute arises out of or relates to these Terms, neither party may commence court or tribunal proceedings (except where urgent interlocutory relief is sought) until the provisions of this clause have been met.
13.2 Notice of Dispute
A party claiming a dispute ('Dispute') must give written notice to the other party detailing the nature of the dispute, the desired outcome, and the action required to settle the Dispute.
13.3 Good Faith Negotiation and Mediation
Upon receipt of the notice by the other party:
- The parties must endeavor in good faith to resolve the Dispute by negotiation within 14 days.
- If the Dispute is not resolved within 14 days, the parties must either agree upon a mediator or request that an appropriate mediator be appointed by the President of Consumer Affairs Victoria (or their nominee).
- The parties are equally liable for the mediator's fees and reasonable venue expenses. Each party must pay its own costs associated with attending the mediation.
- The mediation will take place in Melbourne, Victoria, Australia.
13.4 Confidentiality
All communications concerning negotiations and mediation arising out of this dispute resolution clause are strictly confidential and treated as "without prejudice" for the purposes of applicable evidence laws.
13.5 Termination of Mediation
If three (3) months have elapsed since the start of mediation and the Dispute remains unresolved, either party may ask the mediator to terminate the mediation, and the mediator must do so.
14. Venue, Jurisdiction, and Governing Law
- The Services offered by Realink are intended to be viewed by residents of Australia.
- These Terms are governed by the laws of Victoria, Australia.
- In the event of any dispute arising out of or in relation to the Website or Services, you agree that the exclusive venue for resolving such disputes shall be in the courts located in Victoria, Australia.
15. Independent Legal Advice
Both parties confirm that the provisions of these Terms are fair and reasonable. Both parties acknowledge having had the opportunity to obtain independent legal advice and declare that the Terms are not contrary to public policy.
16. Severability
If any part of these Terms is found to be void, illegal, or unenforceable by a court of competent jurisdiction, that specific provision shall be severed, and the remaining provisions of these Terms will continue in full force and effect.
